Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") govern your use of the services provided by Data Designed LLC ("Company," "we," "our," or "us"). By accessing or using our services, you agree to these Terms.
If you do not agree to these Terms, you may not use our services.
2. Definitions
Customer means the bookkeeping firm, accounting firm, business, or other organization that purchases or subscribes to our services.
Authorized Business means a business whose accounting data is connected to our platform by the Customer with appropriate authorization.
Authorized User means an individual who has been granted access to the platform by a Customer.
Services means the Company's cloud-based reporting platform, software, dashboards, integrations, documentation, support services, and related offerings.
Third-Party Services means software, applications, APIs, or services provided by organizations other than the Company, including accounting systems, cloud infrastructure, and business intelligence platforms.
These Terms apply differently depending on your relationship with the Company.
3. Our Services
We provide cloud-based financial reporting, business intelligence, dashboarding, and analytics services that integrate with third-party accounting platforms, including QuickBooks Online.
Our services are intended to assist customers in visualizing and analyzing financial information. They are not a substitute for professional accounting, tax, legal, or financial advice. The Services may change over time as we improve functionality, security, and performance.
4. Customer Responsibility
You agree that:
You have authority to authorize access to the accounting data you connect to our platform.
Information you provide is accurate and complete.
You are responsible for maintaining the security of your user accounts.
You will use the services in compliance with applicable laws and regulations.
You are responsible for reviewing reports and analytics before relying on them for accounting, tax, legal, regulatory, or business decisions.
5. Customer Permissions
Customer represents and warrants that it has all permissions necessary to authorize the Company's access to any data, systems, or third-party accounts connected through the Services.
6. Third-Party Services
Our platform integrates with third-party providers including accounting software, cloud storage providers, data integration platforms, and reporting tools.
Your use of those services remains subject to their respective terms and privacy policies.
We are not responsible for outages, interruptions, or changes made by third-party providers.
7. Customer Data
You retain all ownership rights to your accounting records and other business information.
By connecting your data to our platform, you grant us a limited, revocable license to:
Access your data
Store your data
Process your data
Display your data
solely for the purpose of providing the services you request.
We do not claim ownership of your financial data.
8. Intellectual Property
The Company retains ownership of the software, visualizations, templates, calculation methodologies, and underlying platform technology. Customers retain ownership of their underlying business information and accounting records. Nothing in these Terms transfers ownership of our intellectual property to you.
9. Security
We use security measures designed to protect customer information.
While we strive to maintain a secure platform, no internet-based service can guarantee absolute security.
Customers are responsible for protecting their own login credentials and authorized users.
10. Availability
We strive to maintain reliable service but do not guarantee uninterrupted availability.
Scheduled maintenance, software updates, failures of third-party providers, or events outside our reasonable control may temporarily affect service.
12. Confidentiality
Each party agrees to keep the other party's confidential information private and to use it only for purposes related to providing or receiving the services.
This obligation survives termination of these Terms.
13. Disclaimer
We are not a certified public accounting firm. We provide reporting and analytical tools.
We do not guarantee:
the accuracy of third-party data,
uninterrupted service,
future financial performance,
business outcomes,
regulatory compliance.
Customers remain responsible for reviewing financial information before making business decisions. Use of the Services does not create an accountant-client, attorney-client, fiduciary, or advisory relationship.
14. Limitation of Liability
To the fullest extent permitted by law, the Company's total liability arising from the use of the services shall not exceed the amount paid by the customer for the services during the twelve (12) months preceding the event giving rise to the claim.
The Company shall not be liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost business opportunities, or loss of data.
15. Termination
Either party may terminate the services in accordance with any applicable service agreement. An Authorized Business may revoke our application's access through Intuit's authorization controls at any time. Upon request by the Customer or Authorized Business, the Company may disconnect integrations associated with an Authorized Business.
Upon termination:
access to the platform may be disabled,
customer data may be deleted after a reasonable retention period,
outstanding fees remain payable.
16. Changes to the Services and Terms
We may improve, modify, or discontinue features from time to time.
Where practical, we will provide reasonable notice of material changes.
Material changes to these Terms will become effective after notice is posted on our website or otherwise communicated.
17. Governing Law
These Terms shall be governed by the laws of the State of Massachusetts, without regard to conflict of law principles.
